1. Introduction
These Terms and Conditions ("Terms") are a legally binding agreement between you (the "User," "you," or "your") and Cecil Jones Marketing, operated by Acquire, Inc. ("CJM," "we," "us," or "our"). These Terms govern your access to and use of the Cecil Jones Marketing website at ceciljonesmarketing.net and any related services, content, and functionality offered through the site (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
2. Eligibility and Account Registration
The Platform is intended for users who are at least 18 years old. By using the Platform, you represent and warrant that you meet this requirement.
When you create an account or submit information through the Platform, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that provide inaccurate information, violate these Terms, or engage in unauthorized or illegal activity on the Platform.
3. Services
Cecil Jones Marketing provides strategic growth advisory services including, but not limited to, Strategy Sessions, Growth Partnership engagements, AI system deployment, and marketing consulting (collectively, the "Services"). The specific scope, deliverables, and fees for any engagement will be set forth in a separate written agreement or statement of work between you and CJM.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will make reasonable efforts to notify you of material changes affecting your active engagement.
4. Strategy Sessions and Payments
The Strategy Session is a paid diagnostic engagement. By booking a Strategy Session, you agree to pay the session fee as disclosed at the time of booking. Payment is required to secure your session time.
Strategy Session fees are non-refundable, except as required by applicable law. Rescheduling requests made at least 48 hours before the scheduled session time will be accommodated at no additional charge, subject to availability.
For Growth Partnership and other ongoing engagements, fees, payment schedules, and terms will be set forth in your engagement agreement. Late payments may result in suspension of Services.
5. Intellectual Property
Our Content: All content on the Platform, including but not limited to text, images, graphics, logos, videos, software, design elements, and the overall look and feel of the site (collectively, "CJM Content"), is owned by CJM or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any CJM Content without our prior written consent.
Your Content: You retain ownership of any content, materials, or information you submit through the Platform ("User Content"). By submitting User Content, you grant CJM a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your User Content solely for the purpose of providing the Services to you. You represent that you own or have all necessary rights to submit your User Content.
Strategy Session Deliverables: Any analysis, recommendations, reports, or other deliverables provided to you as part of the Services are for your internal business use only. You may not resell, republish, or distribute these deliverables to third parties without our written consent.
6. Acceptable Use
You agree not to:
- Use the Platform in any way that violates applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the Platform, other accounts, or systems connected to the Platform.
- Engage in any activity that interferes with or disrupts the Platform, its servers, or networks.
- Use any automated means (bots, scrapers, spiders) to access or collect data from the Platform without our express written permission.
- Upload or transmit any malicious code, viruses, or harmful content.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Platform to harass, abuse, or harm others, or to send unsolicited commercial communications.
We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including terminating access to the Platform.
7. SMS Communications and A2P 10DLC Compliance
When you provide your phone number through our Site, you may consent to receive SMS communications from us. We maintain two distinct consent categories:
- Transactional SMS: Applies when you consent to receive messages directly related to your engagement with us, such as appointment confirmations or service-related updates. You may consent to transactional messages independently of marketing messages.
- Marketing/Promotional SMS: Applies when you separately consent to receive promotional content, such as growth insights, new content announcements, or offers. This consent is optional and not required for transactional messages.
Opt-Out: You may opt out of SMS messages at any time by replying STOP. After opting out, a confirmation message will be sent, and you will no longer receive SMS messages from us.
Message and Data Rates: Standard message and data rates may apply. You are responsible for any charges from your mobile carrier.
Consent Not Required: Your consent to receive SMS messages is not a condition of purchasing any CJM Services. You may submit any form on our Site without consenting to SMS communications.
We do not share phone numbers, text messaging originator opt-in data, or SMS consent with third parties, excluding aggregators and providers of the text messaging services.
8. Third-Party Services and Links
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by CJM. We are not responsible for the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that CJM is not liable for any damage or loss caused by your use of any third-party services or content.
If you connect third-party services to your CJM account or engagement (such as calendar tools, email platforms, or CRM systems), you are responsible for compliance with those services' terms and policies.
9. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CJM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CJM does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any specific results from the use of our Services, including any particular business outcome, revenue increase, or cost reduction.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CJM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES.
CJM's total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to CJM during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, CJM's liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless CJM, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) your User Content.
12. Confidentiality
During the course of our engagement, we may each receive or have access to confidential information belonging to the other party. "Confidential Information" means any non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure, including but not limited to business plans, financial data, customer lists, pricing, marketing strategies, and technical information.
Each party agrees to protect the other party's Confidential Information using the same degree of care used to protect its own confidential information (but no less than reasonable care), and to use Confidential Information only for the purpose of fulfilling obligations under these Terms and any applicable engagement agreement.
Confidential Information does not include information that: (a) is or becomes publicly available through no breach by the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is rightfully received from a third party without confidentiality obligations; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.
13. Termination
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.
For ongoing engagements governed by a separate agreement, termination provisions in that agreement will govern.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies in the state or federal courts located in Wake County, North Carolina. You agree to submit to the personal jurisdiction of such courts.
15. General Provisions
Entire Agreement: These Terms, together with any applicable engagement agreement or statement of work, constitute the entire agreement between you and CJM regarding the Platform and Services, superseding any prior agreements.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. CJM's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction.
Force Majeure: CJM shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Relationship of the Parties: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and CJM. You are an independent contractor when receiving Services, unless otherwise specified in an engagement agreement.
